These Terms of Service ("Terms") govern your access to and use of Orpheus, a software-as-a-service platform operated by HMD Digital S.R.L. ("we", "us", "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Orpheus is a web-based platform for LinkedIn personal branding, content strategy, AI-assisted drafting, workspace collaboration, and—where you connect a LinkedIn account—publishing or scheduling posts through official LinkedIn APIs.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee uninterrupted availability, specific outcomes, reach, engagement, or business results from content published through the Service.
2. Eligibility and Accounts
You must be at least 18 years old and have legal capacity to enter into a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must provide accurate registration information and keep it up to date. You may not share accounts, impersonate others, or create accounts through automated means except as we expressly permit.
3. Subscriptions and Payment
Paid plans, where offered, are billed through our payment processor (currently Mollie). Fees, billing intervals, and plan limits are shown at checkout or on our pricing page.
Subscriptions renew automatically unless cancelled before the renewal date. Except where mandatory law requires otherwise, fees are non-refundable. We may change pricing on reasonable notice; continued use after the effective date constitutes acceptance.
Free trials or promotional access may be modified or withdrawn at our discretion. We may suspend access for failed payment or suspected abuse.
4. Your Content and License to Us
You retain ownership of content you submit, upload, or generate through the Service ("User Content"), subject to the licenses below.
You grant HMD Digital S.R.L. a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise process User Content and related data as necessary to: (a) provide, operate, maintain, and secure the Service; (b) improve, develop, and train our products, features, and machine-learning models (including using de-identified, aggregated, or anonymized forms); (c) comply with law and enforce these Terms; and (d) protect our rights and those of users and third parties.
You represent that you have all rights necessary to grant this license and that User Content does not violate law or third-party rights.
5. AI-Generated Output
The Service uses artificial intelligence to assist with research, drafting, and related tasks. AI output may be inaccurate, incomplete, biased, or unsuitable for your purposes.
AI output is not legal, financial, tax, medical, or professional advice. You are solely responsible for reviewing, editing, and approving all content before publication or reliance.
We disclaim liability for decisions you make based on AI output or for content published to LinkedIn or any third-party platform.
6. LinkedIn and Third-Party Platforms
Where you connect LinkedIn or other third-party services, you authorize us to act on your instructions through their official APIs subject to their terms and your OAuth grants.
You are solely responsible for compliance with LinkedIn's User Agreement, Professional Community Policies, and applicable advertising or disclosure rules. We are not affiliated with or endorsed by LinkedIn.
We may disconnect integrations if tokens expire, permissions are revoked, APIs change, or we detect risk to accounts or the Service.
7. Acceptable Use
- No unlawful, fraudulent, harassing, defamatory, or infringing activity.
- No scraping, crawling, or data extraction outside the Service's intended features.
- No bots, engagement manipulation, bulk unsolicited messaging, or circumvention of platform rate limits.
- No reverse engineering, probing, or attempting to access non-public areas of the Service.
- No introduction of malware or interference with Service operation or other users.
- No resale or sublicensing of the Service except as we authorize in writing.
8. Intellectual Property
The Service, including software, design, trademarks, and documentation (excluding User Content), is owned by HMD Digital S.R.L. or its licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
9. Privacy
Our collection and use of personal data is described in our Privacy Policy at https://orpheus.hmd.digital/privacy. By using the Service, you acknowledge that policy.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS, OR THAT AI OUTPUT OR PUBLISHED CONTENT WILL ACHIEVE ANY PARTICULAR RESULT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HMD DIGITAL S.R.L., ITS DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED EUROS (€100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You will defend, indemnify, and hold harmless HMD Digital S.R.L. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your use of LinkedIn or other integrated platforms.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately for breach, risk, non-payment, or at our discretion with or without notice.
Upon termination, your right to use the Service ceases. Sections that by nature should survive (including licenses granted for operational necessity, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on the Service with an updated effective date. Continued use after changes become effective constitutes acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. Subject to mandatory consumer protections, the courts of Latina, Italy shall have exclusive jurisdiction over disputes arising from these Terms.
If you are a consumer in the European Union, you may also have rights to bring proceedings in your country of residence where mandatory law so provides.
